This User Agreement (“Agreement”) is a legally binding contract between you (“you” or “User”) and Diipsolution.com Limited (“Diipsolution”, “we”, “us”, or “our”). By accessing or using the Diipsolution.com website (“Site”) or any related services (collectively, “Services”), you agree to be bound by this Agreement, including all policies, procedures, and any subsequent modifications. If you do not agree to all of the terms and conditions herein, do not access or use our Services.

 

This Agreement governs your use of our digital platform and sets forth your legal rights, obligations, and remedies in connection with your use of our Services. If you are accessing or using our Services on behalf of a business or legal entity, you represent that you have authority to bind that entity to this Agreement.

  1. ACCOUNTS AND REGISTRATION

 

1.1 Registration

 

You must register for an account (“Account”) to access full features of our Services. All information provided must be accurate and kept current. Diipsolution reserves the right to refuse or cancel any registration for any lawful reason.

 

1.2 Eligibility

 

By registering, you represent that you are at least 18 years of age (or the applicable age of majority) and are using the Services for lawful business purposes only.

 

1.3 Account Security

 

You are responsible for maintaining the confidentiality of your username and password. You must immediately notify Diipsolution at legal@diipsolution.com of any unauthorized use of your Account.

  1. PURPOSE OF DIIPSOLUTION

 

Diipsolution provides an online marketplace that connects service providers (“Freelancers”) with clients (“Clients”) for various professional services. We facilitate interactions, help form service contracts, and offer tools for communication, invoicing, and dispute resolution.

 

Note: Diipsolution does not act as a party to any service contract between Users; all contractual obligations are solely between the Users.

  1. USER RELATIONSHIPS AND SERVICE CONTRACTS

 

3.1 Service Contracts

 

Any agreement formed between Users through our platform is solely between those Users. Diipsolution is not responsible for the performance or non-performance of any service contract.

 

3.2 Disputes Between Users

 

Users are encouraged to resolve disputes directly using the dispute resolution process provided on the Site. If informal resolution fails, Users may pursue other remedies, but Diipsolution’s role is limited to facilitating communication and, where applicable, providing an arbitration process as described below.

 

3.3 Confidential Information

 

Users agree to keep any confidential or proprietary information received from another party strictly confidential. This obligation applies during and after the termination of any service contract.

  1. PAYMENT AND SERVICE FEES

 

4.1 Payment Obligations

 

Users agree to pay all fees, service charges, and applicable taxes as set out on the Site. Payment methods and processing are governed by our Payment Policy, which you agree to upon registration.

 

4.2 Service Fees

 

Service providers and clients may be subject to fees for use of certain features. Such fees, and any conditions for their use, are described on the Site and may be amended from time to time.

 

If Diipsolution offers payment-holding services through any third party, the related provisions shall be governed by this Agreement and the specific service instructions will be provided to the Users.

  1. PAYMENT TERMS ANDSERVICES

5.1 Third-Party Services

 

Where applicable, Diipsolution may provide a third party service to hold funds until the terms of a service contract are met. Funds will be released only in accordance with the written instructions agreed upon by the Users and as provided by the applicable third party guidelines on the Site.

 

5.2 Payment Methods

 

By providing your payment details, you authorize Diipsolution to charge your designated Payment Method for all amounts due under this Agreement. You must ensure that your Payment Method remains valid and that sufficient funds are available.

  1. NON-CIRCUMVENTION AND COMMUNICATION

 

6.1 Non-Circumvention

 

For a period of 24 months from the date you first establish a working relationship with another User on our platform (“Diipsolution Relationship”), you agree to conduct all related communications and payments exclusively through the Site unless a formal conversion fee is agreed in writing by both parties.

 

6.2 Communication Protocols

 

Prior to entering any service contract, Users agree to communicate exclusively via the communication channels provided on the Site. Sharing direct contact details or moving discussions off-platform without proper authorization is prohibited.

  1. RECORDS, WARRANTY DISCLAIMER, AND LIMITATION OF LIABILITY

 

7.1 Records

 

You are solely responsible for maintaining your own records related to transactions and communications on the Site. Diipsolution is not obligated to store or provide copies of your data except as required by law.

 

7.2 Warranty Disclaimer

 

The Services are provided “as is” and “as available” without any warranties of any kind, whether express or implied. Diipsolution does not guarantee uninterrupted or error-free operation of the Site.

 

7.3 Limitation of Liability

 

To the fullest extent permitted under Nigerian law, Diipsolution and its affiliates shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with your use of our Services. In any event, our aggregate liability shall not exceed the fees paid by you for the Services in the preceding six months.

  1. INDEMNIFICATION AND RELEASE

 

8.1 Indemnification

 

You agree to indemnify and hold harmless Diipsolution, its officers, directors, employees, and agents from any claims, losses, damages, or expenses arising from your breach of this Agreement or your use of the Services.

 

8.2 Release

 

You hereby release Diipsolution from any liability arising from disputes between you and any other User, including any claims related to the performance of services contracted through the Site.

  1. TERM AND TERMINATION

 

9.1 Term

 

This Agreement is effective upon your acceptance and will remain in force until terminated by either party.

 

9.2 Termination

 

Either party may terminate this Agreement at any time by giving written notice to the other. Termination of this Agreement shall not affect any existing service contracts, and all accrued payment obligations shall survive termination.

  1. DISPUTE RESOLUTION AND GOVERNING LAW

 

10.1 Dispute Resolution

 

In the event of any dispute arising out of or relating to this Agreement or your use of the Services, you and Diipsolution agree to first attempt an informal resolution by contacting our legal department at legal@diipsolution.com. If a dispute cannot be resolved within 60 days, the dispute shall be submitted to binding arbitration in Lagos, Nigeria, in accordance with the applicable arbitration rules in Nigeria.

 

10.2 Governing Law

 

This Agreement and any disputes arising hereunder shall be governed by and construed in accordance with the laws of Nigeria. All legal proceedings arising out of or relating to this Agreement shall be brought exclusively in the courts of Lagos, Nigeria.

  1. GENERAL PROVISIONS

 

11.1 Entire Agreement

 

This Agreement, together with any policies, procedures, and notices published on the Site, constitutes the entire agreement between you and Diipsolution regarding the Services.

 

11.2 Modifications

 

Diipsolution reserves the right to modify this Agreement at any time by posting an updated version on the Site. Continued use of the Services following any modifications constitutes your acceptance of the revised terms.

 

11.3 Assignment

 

You may not assign or transfer any rights under this Agreement without the prior written consent of Diipsolution. Any attempted assignment in violation of this provision shall be void.

 

11.4 Severability

 

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

 

11.5 Force Majeure

 

Neither party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is due to events beyond its reasonable control, including but not limited to natural disasters, labor disputes, or governmental actions.

 

11.6 Electronic Records

 

You consent to receive all communications and notices from Diipsolution electronically. These communications will be deemed received when sent to your email address provided during registration.

  1. DEFINITIONS

 

For the purposes of this Agreement, the following terms have the meanings set forth below:

  • “Client” means any User who registers to seek services on the Site.
  • “Freelancer” means any User who registers to offer services on the Site.
  • “Service Contract” means any agreement between a Client and a Freelancer formed via the Site regarding the provision of services.
  • “User Content” means any data, text, images, or other materials submitted by a User on the Site.
  • “Payment Method” means any method of payment accepted by Diipsolution as listed on the Site.
  • Additional capitalized terms used herein but not defined shall have the meanings ascribed to them in the context of this Agreement or on the Site.

This Agreement replaces and supersedes any prior agreements between you and Diipsolution.com Limited regarding the use of our Services. The English language version of this Agreement shall prevail in the event of any conflict with translations.
